Licensor: Sigma Foundry LLC ("Sigma Foundry," "we," "us") · Effective date: September 15, 2026
This agreement covers every paid app and pass sold through account.sigmafoundry.io (each, the "Software"). By subscribing to, accessing, or using the Software you ("you," "Licensee") agree to it. If you do not agree, do not use the Software.
For as long as your subscription is active and paid, and you comply with this agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your own use (or, for team plans, for the number of users you have paid for).
This is a license to use the Software as a service. Ownership of the Software, its code, and its intellectual property stays with Sigma Foundry.
You will not, and will not let anyone else:
(a) copy, download for reuse, distribute, publish, share, resell, sublicense, rent, or otherwise make the Software or its files (HTML, CSS, JavaScript, data, or assets) available to anyone else, free or paid;
(b) share your sign-in email or session with other people, or let more people use the Software than you have paid for;
(c) bypass, disable, or interfere with the sign-in gate, the subscription check, or any other access control or usage measurement;
(d) remove or alter branding or proprietary notices;
(e) reverse engineer or copy the Software for the purpose of reproducing it or building a competing product;
(f) use the Software for anything unlawful.
For clarity: browser-based software is necessarily viewable in a browser. That does not give you any right to keep, copy, redistribute, or reuse its files. Doing so is a material breach of this agreement and an infringement of our intellectual property.
Anything you enter into the Software, and anything it produces for you, is yours. We do not claim ownership of your inputs or outputs, and you may use them however you like.
Your license depends on an active, paid subscription. If your subscription is cancelled, lapses, or fails payment (after the retry and grace period), the license ends automatically and access is switched off. We may also end the license immediately for a breach of this agreement, including redistribution or circumvention. When the license ends you must stop using the Software and delete any copies of its files. Sections 2, 5, 6, and 7 survive termination.
Unauthorized copying or redistribution causes harm that money alone may not fix. We may seek an injunction in addition to damages, and may recover reasonable attorneys' fees and costs incurred enforcing this agreement, to the extent the law allows.
The Software is provided "as is" without warranties of any kind to the maximum extent permitted by law. Our total liability arising out of the Software or this agreement is limited to the amount you paid us in the 12 months before the claim arose.
This agreement is governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts in Bergen County, New Jersey.
We may update this agreement. Material changes will be emailed to account holders or posted on the account page before they take effect; continued use afterward means you accept them.
