Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, web apps, free tools, and related services at sigmafoundry.io and its subdomains (collectively, the "Services") provided by Sigma Foundry LLC, a New Jersey limited liability company ("Sigma Foundry," "we," "us"). By creating an account, subscribing, or using the Services you agree to these Terms, our End-User License Agreement, and our Privacy Policy.

1. Accounts

You sign in with a one-time link sent to your email address; there is no password. You are responsible for keeping that mailbox secure and for all activity under your account. You must be at least 18 years old, or the age of majority where you live, to subscribe. You may sign out of every device at any time from your account page.

2. Free tools

Some tools are free and require no account. They are provided as-is for general information and convenience. Results from calculators, graders, and checklists are estimates and are not tax, legal, financial, or professional advice.

3. Subscriptions, billing, and automatic renewal

• Paid apps and passes are sold as subscriptions billed monthly or annually. The price, billing interval, and what is included are shown before you enter payment details.
• Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. By subscribing you authorize Sigma Foundry, through our payment processor Stripe, to charge your payment method on each renewal.
• You can cancel at any time from your account page ("Manage billing"). Cancellation stops future renewals; you keep access until the end of the period you have already paid for.
• If a renewal payment fails, Stripe will retry it and email you. Access continues for a short grace period after the paid period ends; if payment is not resolved, access is suspended until it is.
• We will email you before an annual renewal and at least 30 days before any price increase takes effect.
• Refunds are governed by our Refund Policy.
• Sales tax or VAT may be added where required by law.

4. License and acceptable use

Your right to use any paid app is a license under our EULA, which prohibits copying, redistribution, credential sharing, and circumventing access controls. You also agree not to misuse or disrupt the Services, attempt unauthorized access, scrape or bulk-download them, or use them for anything unlawful.

5. Intellectual property

Sigma Foundry and its licensors own the Services, the apps, and all related content and code. Except for the limited license in the EULA, no rights are granted to you. Content you enter into a tool remains yours; we do not claim ownership of your inputs or outputs.

6. Third-party services

We rely on third parties to run the Services, including Stripe (payments), Hostinger (hosting and email), and our email delivery providers. Their terms may also apply to your use. We are not responsible for services we do not control.

7. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, to the maximum extent permitted by law. We do not promise that the Services will be uninterrupted, error-free, or fit for a particular purpose.

8. Limitation of liability

To the maximum extent permitted by law, Sigma Foundry will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Services is limited to the amount you paid us in the 12 months before the claim arose.

9. Indemnification

You agree to defend and hold Sigma Foundry harmless from claims arising out of your misuse of the Services or your breach of these Terms or the EULA.

10. Suspension and termination

We may suspend or terminate access for breach of these Terms or the EULA, for non-payment, or to comply with law. You may stop using the Services at any time. Sections 5, 7, 8, 9, and 11 survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Bergen County, New Jersey, and you consent to their jurisdiction. Nothing in this section limits your rights under consumer-protection laws where you live.

12. Changes

We may update the Services or these Terms. If a change is material we will email account holders or post a notice on the account page before it takes effect; continued use after the effective date means you accept the change.
